1. Definitions

In these Terms and Conditions:

  • "Pulsemind", "we", "us", "our" refers to Pulsemind, with its principal office at 7 Hoi Wan Street, Quarry Bay, Hong Kong.
  • "Service" refers to any AI consultancy services provided by Pulsemind, including sentiment analysis, knowledge base development, and forecasting model development.
  • "User", "you" refers to any individual or organisation accessing our website or engaging our services.
  • "Agreement" refers to these Terms and Conditions together with any project-specific scope of work agreed in writing.
  • "Content" refers to all materials, documentation, models, and outputs produced by Pulsemind as part of an engagement.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree to any part of these terms, you should not use our website or services.

You represent that you are at least 18 years of age and have legal capacity to enter into binding agreements. These terms apply to individuals acting on behalf of organisations.

3. Description of Services

Pulsemind provides AI consultancy services to organisations in Hong Kong and the Asia-Pacific region. Services are delivered on a project basis following a written scope of work agreed by both parties. Current service offerings include:

  • Sentiment Analysis Platform development
  • AI-Powered Knowledge Base development
  • Forecasting Model development and calibration

Specific service terms, deliverables, timelines, and fees are defined in individual project agreements. These Terms and Conditions apply as a baseline alongside those project-specific terms.

4. User Responsibilities

When using our website or engaging our services, you agree to:

  • Provide accurate and complete information during enquiry and project engagement
  • Not use our website for any unlawful purpose or in a way that infringes third-party rights
  • Not attempt to gain unauthorised access to any part of our systems
  • Not transmit viruses, malware, or other harmful code through our website
  • Comply with all applicable laws in Hong Kong in connection with your use of our services

5. Intellectual Property

All content on our website — including text, layout, visual elements, and branding — is the property of Pulsemind and is protected under applicable intellectual property laws.

For project deliverables: upon full payment, Pulsemind grants the client a non-exclusive, non-transferable licence to use the delivered models, systems, and documentation for internal purposes. Underlying Pulsemind frameworks, methodologies, and tooling remain our intellectual property. Specific IP terms for each engagement are set out in the project agreement.

You may not reproduce, distribute, or commercially exploit our website content or deliverables beyond the scope of the licence granted without our express written consent.

6. Payment Terms

All fees are denominated in Hong Kong Dollars (HKD) unless otherwise stated. Payment terms are specified in each project agreement. Standard terms are:

  • Deposit required before project commencement (typically 30–50% of total engagement value)
  • Remaining balance invoiced on delivery or at milestones as agreed
  • Payment due within 14 days of invoice date
  • Late payment may result in suspension of work and accrual of interest at 1.5% per month

Fees for project enquiries and initial discovery discussions are not charged unless separately agreed in writing.

7. Service Delivery

Timelines and deliverables are specified in individual project agreements. Changes to scope must be agreed in writing by both parties and may affect timeline and cost. Pulsemind will communicate proactively if circumstances arise that may affect agreed timelines.

8. Disclaimers

Our website is provided on an "as available" basis without warranties of any kind. While we take reasonable care to ensure accuracy, we make no representations about the completeness or suitability of website content for any particular purpose.

AI and machine learning systems are probabilistic in nature. Pulsemind does not make representations about the accuracy, completeness, or fitness for purpose of model outputs. Outputs should be reviewed by qualified professionals before informing significant decisions. Confidence intervals and model limitations are disclosed as part of every delivery.

9. Limitation of Liability

To the maximum extent permitted by Hong Kong law, Pulsemind's total liability for any claim arising from our services is limited to the total fees paid by the client in respect of the specific engagement giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify Pulsemind against any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services, or any third-party claim arising from your use of our deliverables beyond the agreed scope.

11. Confidentiality

Client data and project-related information are treated as confidential. Pulsemind signs mutual non-disclosure agreements (NDAs) before accessing any client data. Confidentiality obligations under project agreements survive the conclusion of the engagement.

12. Termination

Either party may terminate an engagement by providing written notice as specified in the project agreement. Pulsemind reserves the right to suspend or terminate website access for users who violate these Terms. Upon termination, payment obligations for work completed to that point remain in effect.

13. Dispute Resolution

These Terms are governed by the laws of Hong Kong. In the event of a dispute, parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) rules, unless otherwise agreed in writing.

14. General Provisions

  • Entire Agreement: These Terms, together with any project agreement, constitute the entire agreement between us on the relevant matters.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that right.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

15. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated date. Continued use of our website or services following notification of changes constitutes acceptance of the revised Terms.
